ebounti Services Private Limited provides its services to you subject to the notices, terms, and conditions set forth in this agreement (the "Agreement"). These terms of use (the "Terms of Use") govern your use of the Site.

In addition, when you use any ebounti service (e.g., Store Search, Enquiry), you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they are incorporated into this Agreement by this reference. By using the Site, and/or by registering with us, you signify that you agree to these terms of use, including that you consent to the information practices disclosed in Privacy Policy.

ebounti reserves the right to change this site and these terms and conditions at any time.

ebounti retains the right to deny access to anyone who we believe has violated any of these Terms of Use.

Accessing, browsing or otherwise using the Site indicates your agreement to all the terms and conditions in this agreement, so please read this agreement carefully before proceeding.

Contents Posted on Site

You are responsible for any notes, messages, emails, postings, photos, profiles, opinions, ideas, images or other materials or information posted or transmitted to the Site (collectively, "Content"). Such Content will become the property of ebounti. ebounti shall be entitled to, consistent with our Privacy Policy, use the Content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include Content you provide. You agree that any Content you post may be used by ebounti, consistent with our Privacy Policy and Rules of Conduct on Site as mentioned herein, and you are not entitled to any payment or other compensation for such use

No Contractual or Professional Relationship

By using the services of ebounti, no contractual or professional relationship is created between the Customer and the Vendor.

We make no guarantees, representations or warranties whatsoever, whether expressed or implied, with respect to store, expertise, quality of products or other information herein. Further, we do not, in any way, endorse any individual described herein. In no event shall we be liable to you or anyone else for any decision made or action taken in reliance on such information.

We cannot guarantee the availability of any products in the stores at any particular time. We will not be liable for cancelled, delayed or otherwise unfulfilled orders or any damage resulting there from, or for any other damage resulting from the use of the Site or grocery and products provider whatsoever.

You are strongly advised to perform your own investigation prior to selecting a store including verification of listed credentials.

Fees and Charges

Even though the ebounti provides free of charge service to search and place orders with the store, the Store owner will charge for the purchase of products.

ebounti has no control or concern with the costs charged by grocery store listed by the Site or informed by the team. The cost incurred for any product purchase rendered by collaborating grocery and products provider profiled on the Site will apply and will be entirely your responsibility.

In addition, ebounti has all the rights to levy any penalties for non-standard behavior including consistent 'No-Shows'. In any case, ebounti will warn the user for any such impending penalties. This is done to discourage and/or stop any person and/or entity jeopardising the true intent of our service.

Rules of conduct

1. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.
2. ebounti may review, edit, reject, refuse to post and/or delete any Content that in the sole judgment of ebounti violate these Terms of Use or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of another person.
3. Any information provided by you on this Site shall not be misleading in any way.
4. You may not post or transmit Content, (even if made in a joking, sarcastic or unintended manner), if it in any way:
   1. Promotes an illegal or unauthorized copy of another person's copyrighted work.
   2. Contains restricted or password-only access pages, or hidden pages or images (those not linked to or from another accessible page).
   3. Provides material that exploits people in a sexual, violent or otherwise inappropriate manner or solicits personal information from anyone.
   4. Contains video, photographs, or images of another person age 18 or older without his or her express written consent and permission or those of any minor (regardless of whether you have consent from the minor or his or her legal guardian).
   5. Tries to gain unauthorized access or exceeds the scope of authorized access (as defined herein and in other applicable Codes of Conduct or End User Access and License Agreements) to the Site or to profiles, blogs, communities, account information, or other areas of the Site or solicits passwords or personal identifying information for commercial or unlawful purposes from other users.
   6. Interferes with another user's usage of the Site;
   7. Refers to any website or URL that, in the sole discretion of ebounti, contains material that is inappropriate for the Site, contains content that would be prohibited on the Site, or violates the letter or spirit of these Terms of Use.
5. You must use the Site in a manner consistent with any and all applicable laws and regulations. Illegal and/or unauthorized uses of the Site, including without limitation, collecting usernames and/or email addresses of registered members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Site, are not permitted. This includes the unauthorized interception of the data stream coming from or going into the Site, as well as attempting to gain unauthorized access to the Site or exceeding your authorized access.
6. You may not engage in advertising to, or solicitation of, other users through the Site to buy or sell any products or services, including, but not limited to services related to the Site. You may not transmit any chain letters or unsolicited commercial or junk email to other users via the Site. It is also a violation of these Terms of Use to use any information obtained from the Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to another person outside of the Site without their prior explicit consent.
7. You understand that ebounti has the right at all times to disclose any information (including the identity of the persons providing information or materials on the Site) as necessary to satisfy any law, regulation or valid governmental request. This may include, without limitation, disclosure of the information in connection with investigation of alleged illegal activity or solicitation of illegal activity or in response to a lawful court order or subpoena. In addition, we can (and you hereby expressly authorize us to) disclose any information about you to law enforcement or other government officials, as we, in our sole discretion, believe necessary or appropriate in connection with the investigation and/or resolution of possible crimes, especially those that may involve personal injury.
8. ebounti reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Site including the Patient recommendations. ebounti shall have the right to remove or edit any Content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms of Use. Notwithstanding this right of ebounti, you remain solely responsible for the Content of the materials you post in the public areas of the Site and in your private messages. Please be advised that Content posted in public areas of the Site does not necessarily reflect the views of ebounti. In no event shall ebounti assume or have any responsibility or liability for any Content posted or for any claims, damages or losses resulting from use of Content and/or appearance of Content on the Site. You hereby represent and warrant that you have all necessary rights in and to all Content you provide and all information it contains and that such Content shall not infringe any proprietary or other rights of third parties or contain any libellous, tortuous, or otherwise unlawful information.
9. ebounti shall have all the rights to take necessary action and claim damages that may occur due to your involvement/participation in any way on your own or through group(s) of People, intentionally or unintentionally in DoS/DDoS (Distributed Denial of Services).
10. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or . other proprietary information without obtaining the prior written consent of the owner of such proprietary rights

Disclaimer of Warranties and Liability

This Site, all the materials and products (including but not limited to software) and services, included on or otherwise made available to you through this Site and/or the call centre are provided by ebounti "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the forgoing paragraph, ebounti does not warrant that:

• This Website and/or the call centre will be constantly available, or available at all. or
• The information on this website and/or fetched from the call centre is complete, true, accurate or non-misleading.

ebounti does not warrant that this Site; information, content, materials, or services included on or otherwise made available to you through this Site, their servers, or electronic communication are free of viruses or other harmful components.

ebounti groceries does not warrant that this Site; information, content, materials, or services included on or otherwise made available to you through this Site, their servers, or electronic communication are free of viruses or other harmful components.

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you might have additional rights.

You will be required to enter a valid email and phone number while using our services. By registering your details with us, you consent to be contacted by us via phone calls and/or SMS notifications and/or email. ebounti will not use your personal information to initiate any promotional emails, phone calls or SMSes.

Additional Terms

Certain Services on the Site may have additional terms (such as policies, guidelines, and rules) that will further govern your use of that particular Service and supplement these Terms of Use. If you choose to register for or access any such Services, you will be presented with any relevant additional terms and conditions at that time. Changes to the Products

We may from time to time add new products to the Products list, substitute a new product for one of the existing Products, or discontinue or suspend one of the existing product. Information about the new products will be included on the Site. You agree that ebounti will not be liable to you or any third party for any suspension or discontinuation of any of the Products.

Applicable Law

This Agreement shall be governed by and interpreted and construed in accordance with the laws of US. The place of jurisdiction shall be in Illinois.

Your Account

You agree that any use of the Site is at your own risk and ebounti groceries is not responsible for it. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You are responsible for notifying us if your password has been hacked or stolen. You may notify us by sending an email to support@ebounti.com.

Termination

We may terminate and/or suspend your registration immediately, without notice, if there has been a violation of these Terms of Use or other policies and terms posted on the Site by you or by someone using your Credentials. We may also cancel or suspend your registration for any other reason, including inactivity for an extended period, but will attempt to notify you in advance of such cancellation or suspension. ebounti shall not be liable to you or any third party for any termination of your access to the Site and/or the Services. Further, you agree not to attempt to use the Site and/or the Services after any such deletion, deactivation or termination. The agreement shall survive any termination or expiration of these Terms of Use.

Copyright Complaint

We at ebounti groceries respect the intellectual property of others. In case you feel that your work has been copied in a way that constitutes copyright infringement you can write to us at info@ebounti.com.

Transfer

We may transfer this contract at any time to any parent, subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of our company to another entity. We will post a notice on the Site regarding any change of ownership so that you have the opportunity to discontinue your use of the Site or cancel your registration if you do not wish to continue to use the Site and the Services under the new ownership. You may not assign, transfer or sublicense these Terms of Use to anyone else and any attempt to do so in violation of this section shall be null and void
